Agreement to Terms

By accessing or using Overlay's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

Use License

Permission is granted to temporarily access and use Overlay's services for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Modify or copy the materials
  • Use the materials for any commercial purpose or public display
  • Attempt to decompile or reverse engineer any software contained on Overlay's services
  • Remove any copyright or other proprietary notations from the materials
  • Transfer the materials to another person or "mirror" the materials on any other server

User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms.

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion without notice.

Content Ownership and Rights

Your Content

You retain all rights to the content you upload to Overlay (images, videos, etc.). By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and display your content solely for the purpose of providing our services.

Content Restrictions

You agree not to upload content that:

  • Infringes on intellectual property rights
  • Is illegal, harmful, or offensive
  • Contains viruses or malicious code
  • Violates any person's privacy rights
  • Is spam or unauthorized advertising

Acceptable Use

You agree to use Overlay only for lawful purposes. You must not use our services:

  • In any way that breaches any applicable local, national, or international law
  • To transmit any unsolicited or unauthorized advertising or promotional material
  • To impersonate any person or entity
  • To engage in any activity that interferes with or disrupts our services
  • To attempt to gain unauthorized access to our systems

Service Availability

We strive to provide reliable service, but we do not guarantee that our services will be uninterrupted, timely, secure, or error-free. We reserve the right to:

  • Modify or discontinue services without notice
  • Impose limits on certain features
  • Restrict access to parts or all of the service

Disclaimer

The materials on Overlay's services are provided on an 'as is' basis. Overlay makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property.

We do not warrant that the service will meet your requirements or that it will be error-free or virus-free.

Limitations of Liability

In no event shall Overlay or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use Overlay's services, even if Overlay or an authorized representative has been notified orally or in writing of the possibility of such damage.

Indemnification

You agree to indemnify, defend, and hold harmless Overlay, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the services, or your violation of these Terms.

Termination

We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the services will immediately cease.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Overlay operates, without regard to its conflict of law provisions. Any disputes arising from these Terms will be resolved in the courts of that jurisdiction.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after revisions become effective, you agree to be bound by the revised terms.
